Franchise Brokers Association Regional Event Participation Broker Agreement
This Agreement is entered into between Broker (“Participant”) and the Franchise Brokers Association (FBA) regarding participation in FBA-hosted Regional Events.
By accepting this Agreement, Participant acknowledges and agrees to the terms below:
Regional Event Date: August 19 - August 21, 2025
FBA Regional Events are exclusive, invitation-only experiences designed to provide high-value education, networking, and exposure to top-performing franchise brands. Participation is limited to a select number of Participants due to capacity constraints and program structure.
Being selected to attend a Regional Event is a recognition of your standing and contribution to the FBA community. As such, your attendance is expected and required upon acceptance of this invitation.
Eligibility Requirement: Participation in Regional Events is contingent upon registration for the current year’s FBA Annual Conference. Participant’s spot at a Regional Event may be revoked if the Participant is not registered for the Annual Conference at the time of event confirmation.
1. Cancellation Policy
Due to the high demand, limited availability, and financial investment made by FBA to host these events, last-minute cancellations severely impact the success of the program and exclude other qualified brokers from participating.:
If Participant cancels attendance after acceptance, Participant agrees to reimburse FBA for a portion or the full cost of your reserved seat, based on the following tiered cancellation structure:
- More than 6 months prior: No penalty
- 1–6 months prior: Responsible for 75% of per-attendee event cost
- Within 2 weeks of event date: Responsible for 100% of per-attendee event cost
Note: "Cost" includes but is not limited to accommodations, meals, activities, materials, and venue fees incurred on your behalf.
2. Attendance
By confirming attendance, Participant acknowledges the value of the resources extended to reserve Participant’s place, including the exclusion of other members who may have wished to attend. Participant’s failure to attend without sufficient notice and justification constitutes a breach of this agreement and will result in liability for incurred costs.
3. Liability & Indemnification
Participant agrees to comply with all applicable laws, venue rules, and reasonable requests of FBA and facility staff during the event. FBA reserves the right to remove any Participant, or their representative, whose conduct is deemed disruptive or detrimental to the event, FBA, other attendees, or the public.
FBA provides access to event facilities on an “as-is” basis and shall not be liable for any conditions or incidents arising before, during, or after the event. Participant assumes full responsibility for their own conduct and that of any agents or guests, and agrees to indemnify and hold FBA harmless from any claims, damages, or liabilities arising from their participation.
In the event of a dispute, Participant agrees to the jurisdiction of the State of Florida. FBA’s liability, if any, shall not exceed the amount paid by the Participant. FBA is not liable for failure to perform due to events beyond its control, including acts of God, strikes, or other force majeure events.
4. Code of Ethics
As a participating member of the Franchise Brokers Association, Participant agrees to uphold the highest standards of professionalism, including:
- FBA members shall treat other members of the Association with courtesy and respect, and shall refrain from unjust comments or criticism about fellow members.
- FBA members will not knowingly engage in activities that will bring discredit to their fellow members or the Association.
- FBA members will act as positive role models when dealing with clients, the public, media and government officials while providing franchise information, products or services to others.
- FBA members shall not discriminate against any person on account of race, color, religion, age, national origin, sex, handicap or familiar status as defined by applicable local, state and federal laws.
- It shall be a material violation of the Code for any member to use the membership directory for solicitations or for commercial purposes without written permission of the board.
- FBA members will endeavor to provide assistance to fellow members whenever possible and appropriate. When providing advice or information, members shall do so only to the extent that they feel competent to do so.
- FBA members shall be prudent in their disclosure of information regarding other persons or entities. In particular, information of a personal nature shall be treated judiciously and disclosed only when required or permitted by law or by the person or business about whom the information is disclosed.
- FBA members neglecting to pay dues by the date they are due, including any grace period, if any, set by the board of directors, shall surrender all rights and privileges of membership forthwith and shall automatically be dropped from the membership rolls.
- FBA members will not intentionally misrepresent any material facts in dealing with other members or the general public. For example, and without limiting the generality of the foregoing, members will not intentionally lie, cheat, steal or otherwise take unfair advantage of others in the conduct of their franchise sales or other business dealings, nor take unfair advantage of the FBA.
- FBA members will endeavor to keep themselves informed on matters affecting the franchise broker/consulting industry, including local, state and federal laws, regulations and significant judicial decisions, and shall conduct themselves in accordance therewith. Members shall strive to improve their knowledge and competence in matters relating to franchise investing and management.
- FBA members understand and acknowledge that it is up to each member to bring to the attention of the board any conduct of another member or proposed member known or believed in good faith to be in material violation of the Code; and to perform such due diligence in their business dealings as the respective member reasonably deems necessary or appropriate to the circumstances, to avoid or minimize the possibility of falling victim to fraud, misrepresentation and illegal practices.
Violations may result in removal and membership revocation.
