Franchise Brokers Association Regional Event Franchisor Participation Agreement

This Participation Agreement (“Agreement”) is entered into by and between Franchise Brokers Association (FBA) and the undersigned franchisor (“Participant”) regarding the Franchisor’s participation in an official FBA-hosted Regional Event.

FBA Regional Events are premium, limited-capacity gatherings curated to connect elite franchisors with high-performing franchise brokers in a highly focused, relationship-driven setting. These exclusive events are not open to all brands and are extended by invitation only.

Due to the custom-built format and the significant per-brand investment, each participating franchisor’s attendance and full engagement are essential to the success of the event.

1. Eligibility

Participation is extended only to franchisors who are registered and in good standing for the FBA Annual Conference. If at any point Participant is not registered for the Annual Conference, Participant’s regional event invitation may be withdrawn, and any funds paid to date may be forfeited.

2. Participation Fee

As a participating franchisor, Participant agrees to remit the full participation fee outlined by FBA prior to the event date. This fee includes:

  • Event programming and broker engagement
  • Venue costs
  • Hospitality, dining, and activity experiences
  • Marketing and branding opportunities during the event

Payment is non-refundable outside the tiered structure detailed below.

3. Cancellation Policy and Liability Clause

Given the significant investments made by FBA to customize these high-impact events—including accommodations, logistics, curated experiences, and scheduled broker engagements—cancellations impose material losses and opportunity costs.

By accepting this agreement, Participant accepts the following tiered cancellation liability structure:

  • More than 90 days: 50% refund of fees paid
  • 30-59 days prior: No refund - full participation fee retained by FBA
  • Within 14 days of the event date: In addition to forfeiture of the fee, Participant will be liable for any incremental hard costs incurred specifically for any of Participant’s brand’s (e.g., signage, print collateral, dedicated broker materials, vendor bookings, etc.)

Note: No substitutions may be made unless expressly approved by FBA in writing.

4. Event Conduct and Brand Representation

  • Be represented by a qualified and knowledgeable brand representative
  • Be present and fully participate in all required programming and networking sessions
  • Treat all FBA staff, brokers, and other attendees with professional courtesy and respect

Failure to adhere to these terms may result in immediate removal from the event and future event disqualification without refund.

5. Indemnification

Participant agrees to comply with all applicable laws, venue rules, and reasonable requests of FBA and facility staff during the event. FBA reserves the right to remove any Participant, or their representative, whose conduct is deemed disruptive or detrimental to the event, FBA, other attendees, or the public.

FBA provides access to event facilities on an “as-is” basis and shall not be liable for any conditions or incidents arising before, during, or after the event. Participant assumes full responsibility for their own conduct and that of any agents or guests, and agrees to indemnify and hold FBA harmless from any claims, damages, or liabilities arising from their participation in FBA’s regional event, including failure to appear or provide agreed-upon deliverables.

In the event of a dispute, Participant agrees to the jurisdiction of the State of Florida. FBA’s liability, if any, shall not exceed the amount paid by the Participant. FBA is not liable for failure to perform due to events beyond its control, including acts of God, strikes, or other force majeure events.

6. Code of Ethics

All members of the FBA will be held to a higher standard of business ethics, honesty, integrity, competency, fairness and behavioral conduct as a condition of becoming and remaining as a member of FBA. This standard includes, but is not limited to each of the following:

  • FBA members shall treat other members of the Association with courtesy and respect, and shall refrain from unjust comments or criticism about fellow members.
  • FBA members will not knowingly engage in activities that will bring discredit to their fellow members or the Association.
  • FBA members will act as positive role models when dealing with clients, the public, media and government officials while providing franchise information, products or services to others.
  • FBA members shall not discriminate against any person on account of race, color, religion, age, national origin, sex, handicap or familiar status as defined by applicable local, state and federal laws.
  • It shall be a material violation of the Code for any member to use the membership directory for solicitations or for commercial purposes without written permission of the board.
  • FBA members will endeavor to provide assistance to fellow members whenever possible and appropriate. When providing advice or information, members shall do so only to the extent that they feel competent to do so.
  • FBA members shall be prudent in their disclosure of information regarding other persons or entities. In particular, information of a personal nature shall be treated judiciously and disclosed only when required or permitted by law or by the person or business about whom the information is disclosed.
  • FBA members neglecting to pay dues by the date they are due, including any grace period, if any, set by the board of directors, shall surrender all rights and privileges of membership forthwith and shall automatically be dropped from the membership rolls.
  • FBA members will not intentionally misrepresent any material facts in dealing with other members or the general public. For example, and without limiting the generality of the foregoing, members will not intentionally lie, cheat, steal or otherwise take unfair advantage of others in the conduct of their franchise sales or other business dealings, nor take unfair advantage of the FBA.
  • FBA members will endeavor to keep themselves informed on matters affecting the franchise broker/consulting industry, including local, state and federal laws, regulations and significant judicial decisions, and shall conduct themselves in accordance therewith. Members shall strive to improve their knowledge and competence in matters relating to franchise investing and management.
  • FBA members understand and acknowledge that it is up to each member to bring to the attention of the board any conduct of another member or proposed member known or believed in good faith to be in material violation of the Code; and to perform such due diligence in their business dealings as the respective member reasonably deems necessary or appropriate to the circumstances, to avoid or minimize the possibility of falling victim to fraud, misrepresentation and illegal practices.

Violations may result in removal and membership revocation.
